These Terms and Conditions (“Terms”) constitute a legally binding agreement between Pinetics and any individual or entity (“Client,” “you,” or “your”) who accesses our website, requests information, or enters into a business agreement with us.

Please read these Terms carefully before using our website or engaging in our services.

1. Acceptance of Terms
By accessing our website, entering into a project agreement, or using any of our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Services Overview
Pinetics provides end-to-end product development and engineering services, including but not limited to:

Product conceptualization and feasibility analysis

UI/UX design and prototyping

Embedded systems and firmware development

Mobile and web application development

Regulatory and compliance consulting (especially for MedTech)

Go-to-market (GTM) and post-launch support

All services are subject to specific scopes, timelines, and deliverables as defined in project-specific Statements of Work (SOWs), proposals, or service agreements.

3. Client Obligations
To ensure effective delivery, the Client agrees to:

Provide clear project objectives, documentation, and reference materials.

Designate a single point of contact for communication and decision-making.

Review and approve deliverables in a timely manner.

Make payments as per agreed terms.

Ensure all third-party dependencies (e.g., certifications, domain access, third-party APIs) are provided on time.

Pinetics is not liable for delays or additional costs arising due to failure on the Client’s part to fulfill these obligations.

4. Intellectual Property Rights
a. Work Product
All intellectual property created by Pinetics during the course of a paid engagement—including code, schematics, documentation, and designs—will be transferred to the Client upon final payment, unless otherwise agreed in writing.

b. Pre-Existing IP
Pinetics retains ownership of any tools, libraries, frameworks, or intellectual property developed prior to or independently of the client’s project. These may be licensed to the Client for use, subject to mutually agreed terms.

c. Portfolio Rights
Unless otherwise restricted in a Non-Disclosure Agreement (NDA), Pinetics reserves the right to display anonymized project details in its marketing materials and portfolio.

5. Confidentiality
Both parties agree to maintain strict confidentiality regarding proprietary, technical, business, or financial information shared during the course of the project.

This obligation:

Extends to all employees, contractors, or affiliates.

Survives the termination of the project for a period of 5 years.

Includes measures to prevent unauthorized disclosure or misuse of shared data.

6. Payment Terms
Unless otherwise specified:

Invoices must be paid within 15 days of issue.

Late payments may incur a monthly interest of 1.5%.

Work may be paused or terminated for non-payment beyond 30 days.

Payments are to be made in the currency mentioned in the contract via bank transfer or approved digital method.

No ownership transfer or IP rights are conferred until full payment is received.

7. Warranty & Support
a. Warranty
Pinetics offers a limited 30-day warranty post-delivery for bug fixes and corrections that stem from our development efforts. Any enhancements or scope changes are chargeable.

b. Support
Ongoing support or maintenance must be agreed upon separately through an annual maintenance contract (AMC) or retainer model.

8. Limitation of Liability
To the fullest extent permitted by law, Pinetics shall not be liable for:

Indirect, incidental, or consequential damages.

Loss of profits, business, or data.

Delays or failure caused by third-party services or tools.

Our total cumulative liability under any agreement shall not exceed the total fees paid to us for the respective project.

9. Indemnification
You agree to indemnify, defend, and hold harmless Pinetics and its directors, officers, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from:

Your misuse of the services

Violation of any third-party rights

Breach of any provision of these Terms

10. Termination
Either party may terminate the engagement with written notice:

For breach of terms, with a 15-day cure period.

For convenience, with 30 days’ written notice (provided compensation for completed work is paid).

Upon insolvency, liquidation, or regulatory prohibition of either party.

Upon termination, all work must be returned or destroyed, and pending dues must be cleared.

11. Website Use
Pinetics’ website, including all content (text, code, images, case studies, blogs), is owned and operated by Pinetics. You may not:

Copy, redistribute, or reuse content without permission.

Use the website to disseminate harmful software or unauthorized advertising.

Engage in data mining or scraping.

12. Privacy
Use of our website and services is also governed by our Privacy Policy, which outlines how we collect, store, and process your data.

13. Force Majeure
Pinetics shall not be held liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, pandemic, cyber-attacks, government restrictions, or natural disasters.

14. Dispute Resolution
Any dispute arising under or related to these Terms will be:

First attempted to be resolved amicably through mutual negotiation.

If unresolved, subject to arbitration under the Arbitration and Conciliation Act, 1996.

15. Modifications to Terms
